SUPPLIER TERMS & CONDITIONS

For Supplier Onboarding on the Healthhub Medical Nigeria Limited Platform

Welcome to Healthhub Medical Nigeria Limited (“Healthhub”).

These Supplier Terms & Conditions govern your participation as a supplier, vendor, contractor, manufacturer, distributor, or service provider on the Healthhub platform and procurement ecosystem.

Please read these Terms carefully before proceeding with registration.

  1. ACCEPTANCE OF TERMS

By clicking “I ACCEPT,” you confirm and acknowledge that:

  • You have read, understood, and agreed to these Terms & Conditions;

  • You are legally authorized to represent and bind your company or organization;

  • All information submitted during registration is accurate, complete, and truthful;

  • You agree to comply with all Healthhub operational policies, compliance requirements, and platform standards.

You further acknowledge that violation of these Terms may result in:

  • Account suspension;

  • Permanent termination;

  • Financial penalties;

  • Withholding of payments;

  • Legal proceedings and claims for damages.

Your electronic acceptance constitutes a legally binding agreement between you and Healthhub Medical Nigeria Limited.

  1. SUPPLIER ELIGIBILITY & REGISTRATION REQUIREMENTS

To qualify as a supplier on the Healthhub platform, you may be required to provide valid and up-to-date documentation including, but not limited to:

  • Corporate Affairs Commission (CAC) Registration;

  • Tax Identification Number (TIN);

  • Regulatory approvals and certifications;

  • Importation licenses where applicable;

  • Manufacturer authorization letters;

  • Product certifications and compliance documentation;

  • Company profile and operational details.

Healthhub reserves the right to:

  • Verify submitted documents;

  • Conduct due diligence and compliance checks;

  • Reject or suspend any application at its sole discretion.

  1. NON-CIRCUMVENTION & NON-SOLICITATION

As a supplier on the Healthhub platform, you acknowledge that all buyers, customers, procurement leads, and business opportunities introduced through Healthhub are protected business relationships of Healthhub.

Accordingly, you agree that you shall not, directly or indirectly:

  • Circumvent Healthhub in order to transact privately with buyers introduced through the platform;

  • Redirect buyers to external payment channels or unauthorized platforms;

  • Solicit, divert, or engage Healthhub customers outside the platform without written authorization;

  • Interfere with Healthhub’s commercial relationships or procurement transactions.

These obligations shall remain valid throughout your participation on the platform and for a period of five (5) years following termination of your supplier relationship with Healthhub.

Any violation of this provision shall constitute a material breach and may result in:

  • Immediate account suspension or termination;

  • Financial claims and recovery of lost commissions or business opportunities;

  • Injunctive relief;

  • Legal action and damages.

  1. PRODUCT AUTHENTICITY & QUALITY GUARANTEE

You warrant and guarantee that all products supplied, listed, marketed, or distributed through Healthhub shall be:

  • Genuine and authentic;

  • Legally sourced;

  • Safe and suitable for intended medical or healthcare use;

  • Free from counterfeit, adulterated, altered, damaged, or expired materials;

  • Compliant with all applicable regulatory and industry standards.

You shall not supply:

  • Expired products;

  • Counterfeit products;

  • Refurbished or altered products without disclosure;

  • Unapproved medical devices or equipment;

  • Products with falsified certifications or documentation.

Healthhub reserves the right to:

  • Inspect and verify supplied products;

  • Request supporting documentation and certifications;

  • Reject, suspend, or delist suspicious or non-compliant products.

  1. TECHNICAL SPECIFICATION GUARANTEE

You guarantee that all supplied products shall:

  • Match advertised specifications;

  • Conform to manufacturer descriptions;

  • Meet applicable technical and safety standards;

  • Function properly for their intended use.

You agree to provide where applicable:

  • Product manuals;

  • Technical specifications;

  • Calibration reports;

  • Certifications;

  • Manufacturer documentation.

Any false, misleading, or inaccurate technical information shall constitute a material breach of these Terms.

  1. WARRANTY OBLIGATIONS

You agree to provide all applicable manufacturer or supplier warranties for products supplied through Healthhub.

Warranty obligations may include:

  • Repairs;

  • Product replacement;

  • Technical support;

  • Spare parts support;

  • Maintenance services where applicable.

Failure to honor warranty obligations may result in:

  • Product delisting;

  • Payment withholding;

  • Supplier suspension;

  • Account termination;

  • Liability for resulting losses or damages.

  1. DELIVERY & PERFORMANCE OBLIGATIONS

You agree to deliver products within timelines specified in:

  • Purchase Orders;

  • Contracts;

  • Procurement requests;

  • Marketplace transactions.

You shall promptly notify Healthhub of:

  • Delays;

  • Stock shortages;

  • Importation issues;

  • Logistics disruptions;

  • Any circumstance affecting timely delivery.

Repeated delivery failures or poor performance may adversely affect:

  • Supplier rankings;

  • Listing visibility;

  • Platform access and participation.

  1. SUPPLIER PAYMENT TERMS

Subject to successful delivery, inspection, and verification, Healthhub agrees to process payment to suppliers within twenty-four (24) hours after:

  • Receipt of supplied products;

  • Completion of inspection and technical verification where applicable;

  • Confirmation that products meet agreed specifications and quality standards.

Payment shall only be processed after Healthhub confirms that the products:

  • Match approved specifications;

  • Are free from defects or damage;

  • Are compliant with regulatory and quality requirements;

  • Do not raise counterfeit or compliance concerns.

Healthhub reserves the right to:

  • Delay payment where disputes arise;

  • Withhold payment pending investigation;

  • Reject payment for failed inspections or non-compliant products.

  1. PLATFORM COMMISSION

The Supplier acknowledges and agrees that Healthhub shall charge a commission of Five Percent (5%) on every successfully completed transaction conducted through the Healthhub platform or ecosystem.

The commission applies to:

  • Marketplace sales;

  • Procurement transactions;

  • Equipment supply contracts;

  • Product orders;

  • Platform-generated business transactions.

The Supplier authorizes Healthhub to:

  • Automatically deduct applicable commissions prior to payment disbursement; or

  • Invoice the Supplier where necessary.

Commission fees shall be non-refundable upon successful completion of transactions.

Any attempt to evade or circumvent commission payment obligations shall constitute a material breach of these Terms and may result in:

  • Suspension or termination;

  • Financial claims;

  • Legal proceedings.

  1. REGULATORY COMPLIANCE

You agree to comply with all applicable:

  • Laws of the Federal Republic of Nigeria;

  • Medical and healthcare regulations;

  • Importation and customs regulations;

  • Product safety standards;

  • Industry compliance requirements.

You shall bear sole responsibility for obtaining and maintaining all licenses, permits, approvals, and certifications necessary for your operations and supplied products.

  1. PRODUCT RECALL & SAFETY OBLIGATIONS

You agree to immediately notify Healthhub regarding:

  • Product recalls;

  • Manufacturer warnings;

  • Safety concerns;

  • Regulatory enforcement actions;

  • Product defects or hazards.

You shall bear responsibility for:

  • Recall-related costs;

  • Product replacement;

  • Corrective actions;

  • Customer compensation where applicable.

Healthhub reserves the right to:

  • Remove affected listings;

  • Suspend products or supplier accounts;

  • Notify customers and regulatory authorities where necessary.

  1. LIABILITY & RISK ALLOCATION

You acknowledge and agree that you shall bear full responsibility and liability for:

  • Product defects;

  • Counterfeit products;

  • Technical inaccuracies;

  • Regulatory violations;

  • Manufacturer-related defects;

  • Product safety issues;

  • Supplier misrepresentation.

Healthhub operates primarily as:

  • A marketplace facilitator;

  • Procurement coordinator;

  • Inspection and logistics manager.

Accordingly, Healthhub shall not be liable for:

  • Manufacturer defects;

  • Buyer misuse;

  • Unauthorized modifications;

  • Supplier misconduct or negligence.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Healthhub Medical Nigeria Limited, its directors, officers, employees, affiliates, agents, and partners against any claims, liabilities, losses, damages, penalties, costs, or legal expenses arising from or related to:

  • Product defects;

  • Supplier negligence or misconduct;

  • Counterfeit products;

  • Regulatory violations;

  • Intellectual property infringement;

  • Injury, loss, or damage caused by supplied products;

  • Breach of these Terms & Conditions.

  1. CONFIDENTIALITY

You agree to maintain strict confidentiality regarding all non-public information obtained through your relationship with Healthhub, including but not limited to:

  • Buyer information;

  • Pricing structures;

  • Procurement processes;

  • Business strategies;

  • Marketplace systems;

  • Operational data and trade information.

You shall not disclose or use such information without prior written authorization from Healthhub.

  1. PENALTIES & ENFORCEMENT

Healthhub reserves the right to investigate and impose penalties for:

  • Late deliveries;

  • False product information;

  • Counterfeit products;

  • Regulatory breaches;

  • Warranty failures;

  • Poor service quality;

  • Circumvention attempts;

  • Breach of platform policies.

Penalties may include:

  • Payment withholding;

  • Product delisting;

  • Supplier suspension;

  • Permanent account termination;

  • Financial recovery actions;

  • Legal proceedings.

  1. TERMINATION RIGHTS

Healthhub reserves the absolute right to suspend, restrict, or terminate any supplier account at its discretion for reasons including but not limited to:

  • Fraud;

  • Counterfeit activities;

  • Regulatory violations;

  • Reputational risks;

  • Circumvention;

  • Breach of these Terms.

Termination shall not affect any accrued rights, liabilities, payment obligations, or legal remedies available to Healthhub.

  1. DISPUTE RESOLUTION & GOVERNING LAW

Any dispute arising out of or relating to these Terms, supplier participation, or transactions conducted through the Healthhub platform shall first be resolved amicably through good-faith negotiations.

Where amicable resolution fails, such disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act of the Federal Republic of Nigeria.

These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.

  1. DIGITAL ACCEPTANCE & LEGAL EFFECT

By clicking “I ACCEPT,” you acknowledge and agree that:

  • You have carefully read and understood these Terms;

  • You voluntarily agree to be legally bound by them;

  • Your electronic acceptance constitutes a valid and enforceable legal agreement;

  • Electronic records, digital logs, timestamps, IP addresses, and acceptance records maintained by Healthhub shall constitute admissible evidence of acceptance and agreement.
