BUYER TERMS & CONDITIONS
For Buyers Purchasing Through the Healthhub Medical Nigeria Limited Platform.
Welcome to Healthhub Medical Nigeria Limited (“Healthhub”).
These Buyer Terms & Conditions govern the use of the Healthhub platform and all purchases, procurement requests, transactions, inspections, deliveries, installations, financing coordination, maintenance coordination, and related services facilitated through the Healthhub ecosystem.
By accessing the platform, placing an order, requesting procurement services, or clicking “I ACCEPT,” you agree to comply with and be legally bound by these Terms & Conditions.
1. ACCEPTANCE OF TERMS
By clicking “I ACCEPT” or placing an order through the Healthhub platform, you acknowledge and confirm that:
You have carefully read and understood these Terms & Conditions;
You are legally authorized to act on behalf of yourself, your institution, or your organization;
All information provided by you is accurate, complete, and current;
You agree to comply with all Healthhub operational procedures, compliance requirements, and platform policies.
Failure to comply with these Terms may result in:
Cancellation of transactions or procurement requests;
Suspension or restriction of account access;
Refusal of future transactions;
Legal action where applicable.
Your electronic acceptance constitutes a legally binding agreement between you and Healthhub Medical Nigeria Limited.
2. HEALTHHUB PLATFORM ROLE
Healthhub operates primarily as:
A managed healthcare procurement ecosystem;
A marketplace facilitator;
A procurement coordination platform;
An inspection and logistics coordination platform;
A biomedical engineering support and coordination platform.
Healthhub connects buyers with verified suppliers and may coordinate:
Procurement activities;
Supplier sourcing;
Technical verification;
Delivery arrangements;
Installation coordination;
Inspection services;
Maintenance coordination where applicable.
Healthhub does not manufacture products unless expressly stated and may rely on third-party suppliers, logistics providers, manufacturers, technical personnel, and service partners in the execution of transactions.
3. BUYER ELIGIBILITY & VERIFICATION
Healthhub reserves the right to verify the identity and organizational information of buyers before processing any order or transaction.
Buyers may be required to provide:
Government-issued identification;
Corporate Affairs Commission (CAC) registration documents;
Hospital or institutional details;
Authorized representative information;
Billing and delivery information;
Compliance or regulatory documentation where necessary.
Failure to provide accurate, complete, or verifiable information may result in:
Delays in processing;
Suspension of transactions;
Cancellation of procurement requests or orders.
Healthhub reserves the right to refuse service where verification requirements are not satisfactorily met.
4. PROCUREMENT & ORDER PROCESS
A. Order Placement
All orders and procurement requests placed through Healthhub are subject to:
Product availability;
Technical confirmation;
Supplier acceptance;
Payment verification;
Compliance and regulatory checks;
Operational feasibility.
B. Procurement Coordination
Healthhub may coordinate:
Supplier sourcing;
Technical reviews;
Product inspection processes;
Delivery logistics;
Biomedical engineering support;
Installation arrangements where applicable.
C. Order Acceptance
Healthhub reserves the right to:
Accept or reject any order or procurement request;
Request additional documentation or clarification;
Modify procurement timelines where operationally necessary;
Cancel transactions where compliance concerns arise.
5. PAYMENT TERMS
A. Approved Payment Channels
Buyers agree to make all payments exclusively through approved Healthhub payment channels unless otherwise expressly authorized in writing by Healthhub.
Unauthorized direct payments to suppliers outside the Healthhub platform are strictly prohibited.
Healthhub shall not be responsible for losses arising from payments made outside authorized channels.
B. Payment Confirmation
Orders and procurement processes shall proceed only after:
Payment verification;
Compliance review;
Procurement confirmation;
Internal approval processes where applicable.
C. Taxes, Duties & Charges
Buyers shall be responsible for all applicable:
Taxes;
Import duties;
Customs charges;
Regulatory fees;
Freight charges where applicable;
Installation and technical service costs where specified.
6. INSPECTION & ACCEPTANCE POLICY
Healthhub shall conduct technical inspection, verification, and quality assessment before delivery or installation where applicable.
Buyers agree that:
Products must be inspected immediately upon delivery or installation;
Complaints, defects, shortages, or discrepancies must be reported within a reasonable time after delivery;
Acceptance may be evidenced by:
Physical receipt of products;
Signed delivery documentation;
Installation completion;
Operational usage or deployment of products.
Failure to notify Healthhub of any issue within a reasonable period may be deemed acceptance of the delivered products.
7. DELIVERY TERMS
A. General Delivery Commitment
Healthhub shall use commercially reasonable efforts to deliver products within estimated delivery timelines, subject to:
Product availability;
Payment confirmation;
Successful verification processes;
Logistics accessibility;
Supplier processing timelines;
Regulatory requirements;
Force majeure events.
B. Deliveries Within Lagos State & Ogun State
For buyers located within Lagos State and Ogun State, delivery is estimated within:
Twenty-Four (24) Hours after payment confirmation, subject to:
Product availability;
Successful order verification;
Logistics accessibility;
Technical requirements where applicable.
C. Deliveries Outside Lagos & Ogun States Within Nigeria
For buyers located outside Lagos State and Ogun State but within Nigeria, delivery is estimated within:
Seven (7) Days after payment confirmation, subject to:
Interstate logistics operations;
Transportation accessibility;
Security conditions;
Regulatory clearance where applicable;
Product availability.
D. International Deliveries
For buyers located outside Nigeria:
Delivery timelines;
Shipping arrangements;
Customs procedures;
Freight costs;
Import/export documentation;
Regulatory compliance requirements
shall be discussed and mutually agreed upon before shipment or order confirmation.
E. Buyer Delivery Obligations
Buyers shall:
Provide accurate delivery information;
Ensure site accessibility;
Ensure authorized personnel are available to receive products;
Cooperate with delivery and installation coordination where necessary.
F. Failed or Delayed Delivery
Where delivery fails due to buyer-related reasons, including but not limited to:
Incorrect delivery information;
Inaccessibility of delivery location;
Unavailability of receiving personnel;
Refusal to receive products,
Healthhub reserves the right to:
Reschedule delivery;
Charge additional logistics or storage fees;
Suspend further transaction processing where necessary.
8. DELIVERY DISCLAIMER
All delivery timelines provided by Healthhub are estimates only and may be affected by factors beyond Healthhub’s reasonable control, including but not limited to:
Supplier processing delays;
Customs inspections or clearance delays;
Regulatory actions;
Transportation disruptions;
Security conditions;
Natural disasters;
Government restrictions;
Public emergencies;
Force majeure events.
Accordingly, Healthhub shall not be liable for delays, interruptions, or failures caused by circumstances beyond its reasonable control.
9. PRODUCT WARRANTY & TECHNICAL SUPPORT
Where applicable, products supplied through Healthhub may be covered by manufacturer or supplier warranties.
Warranty support may include:
Repairs;
Product replacement;
Technical support;
Maintenance coordination;
Spare parts support where applicable.
Warranty coverage shall be subject to:
Manufacturer terms and conditions;
Proper usage and maintenance;
Compliance with operational guidelines.
Warranty coverage shall not apply to:
Buyer misuse or negligence;
Unauthorized modifications;
Improper installation by unauthorized personnel;
Damage caused by external factors beyond intended usage.
10. PRODUCT INFORMATION & TECHNICAL SPECIFICATIONS
Healthhub shall use reasonable efforts to ensure that product descriptions, specifications, technical information, and images displayed on the platform are accurate. The Buyer shall carefully review and verify that the product description, specifications, features, dimensions, model, and other details provided on the Healthhub platform accurately match the Buyer's intended requirements before adding the product to the shopping cart and proceeding with the purchase. By placing an order, the Buyer confirms that they have reviewed the product information and are satisfied that the selected product meets their needs. Healthhub shall not be liable for purchases resulting from the Buyer's failure to adequately review the product listing prior to checkout. Buyers are responsible for confirming suitability of products for their intended use before purchase.
11. SITE PREPARATION AND ELECTRICAL COMPLIANCE
The Buyer acknowledges and agrees that, prior to connecting or powering on any equipment supplied through the Healthhub platform, the installation site must satisfy all applicable site preparation and electrical requirements, including but not limited to:
1- A properly installed and functional electrical earthing (grounding) system;
2- A functional lightning arrester, where applicable;
3- Appropriate power protection devices, including suitable voltage stabilizers, surge protectors, and the manufacturer-recommended Uninterruptible Power Supply (UPS);
4- A suitable air-conditioned environment where required by the equipment specifications.
The Buyer shall be solely responsible for ensuring that the above requirements are fully in place and in good working condition before the equipment is connected to any electrical power source.
If the Buyer connects or permits the equipment to be connected to electricity without first ensuring compliance with these requirements, and such action results in equipment damage, malfunction, electrical failure, or any related defect, the Buyer shall bear full responsibility for such loss or damage.
In such circumstances, neither Healthhub Medical Nigeria Limited nor the Supplier shall be liable for any repair, replacement, compensation, or warranty claim arising from the Buyer’s failure to comply with these requirements. Any manufacturer’s or supplier’s warranty shall not apply to damage or defects caused by improper electrical installation, inadequate site conditions, power fluctuations, voltage surges, lightning, poor earthing, or any other failure by the Buyer to meet the prescribed installation and operating requirements.
12. LIABILITY LIMITATION
Healthhub Medical Nigeria Limited operates as a managed healthcare equipment marketplace, facilitating the procurement, inspection, payment management, and delivery of healthcare equipment between verified suppliers and buyers. Healthhub is not the manufacturer of the products listed on its platform unless expressly stated.
While Healthhub conducts supplier verification, technical inspection where applicable, and quality checks before releasing payment to suppliers, Healthhub does not manufacture, alter, or modify the products supplied and therefore does not assume liability for any manufacturer's defects, hidden defects, product recalls, misuse, improper installation by third parties, unauthorized modifications, or use of the equipment contrary to the manufacturer's instructions.
The Buyer acknowledges and agrees that:
1) Healthhub's responsibility is limited to facilitating a secure procurement process, verifying suppliers, conducting reasonable product inspection, managing payment in escrow, and coordinating logistics where applicable.
2) The Buyer is responsible for reviewing the product description, specifications, compatibility, intended use, and suitability of the equipment before placing an order.
3) Healthhub shall not be liable for losses arising from the Buyer's incorrect product selection, improper operation, inadequate maintenance, unauthorized repairs, or failure to follow the manufacturer's operating instructions.
4) Where installation, calibration, commissioning, or training is required, the Buyer shall ensure that such services are carried out by Healthhub-approved or manufacturer-authorized personnel. Healthhub shall not be liable for damage or malfunction resulting from installation or servicing by unauthorized persons.
5) To the fullest extent permitted by applicable law, Healthhub's total liability arising from any transaction shall not exceed the total amount actually paid by the Buyer to Healthhub for the specific product giving rise to the claim.
6) Under no circumstances shall Healthhub be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of business, loss of revenue, loss of profits, interruption of medical services, loss of data, or loss of goodwill arising from the purchase, delivery, installation, or use of any product obtained through the Healthhub platform.
7) Nothing in this Agreement shall exclude or limit any liability that cannot lawfully be excluded or limited under the applicable laws of the Federal Republic of Nigeria.
13. BUYER RESPONSIBILITIES
Buyers agree to:
Provide accurate and truthful information;
Cooperate during verification and procurement processes;
Use products in accordance with manufacturer guidelines;
Comply with all applicable laws and regulations;
Avoid misuse of the platform or interference with procurement processes.
14. CONFIDENTIALITY
Buyers agree not to disclose or misuse confidential information obtained through the Healthhub platform, including:
Pricing structures;
Supplier information;
Procurement processes;
Technical documentation;
Operational systems and trade information.
Such information shall not be disclosed without prior written authorization from Healthhub.
15. FRAUD, MISUSE & PROHIBITED ACTIVITIES
Healthhub reserves the right to suspend or terminate access for:
Fraudulent activities;
Misrepresentation;
Unauthorized transactions;
Abuse of platform systems;
Circumvention of approved payment channels;
Regulatory violations.
Healthhub may also report unlawful conduct to relevant authorities where necessary.
16. TERMINATION & SUSPENSION RIGHTS
Healthhub reserves the right to suspend, restrict, or terminate buyer access to the platform at its discretion where:
There is a breach of these Terms;
Fraud or compliance concerns arise;
Transactions present operational or reputational risks;
Verification requirements are not satisfied.
Termination shall not affect accrued obligations or rights existing before termination.
17. DISPUTE RESOLUTION & GOVERNING LAW
Any dispute arising out of or relating to these Terms, transactions, procurement activities, or platform usage shall first be resolved amicably through good-faith negotiations.
Where amicable resolution fails, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the applicable laws of the Federal Republic of Nigeria.
These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
DIGITAL ACCEPTANCE & LEGAL EFFECT
By clicking “I ACCEPT,” placing an order, or using the Healthhub platform, you acknowledge and agree that:
You have read and understood these Terms;
You voluntarily agree to be legally bound by them;
Your electronic acceptance constitutes a valid and enforceable agreement;
Electronic records, timestamps, device information, IP addresses, and digital acceptance logs maintained by Healthhub may serve as evidence of acceptance and agreement.
