BIOMEDICAL ENGINEER TERMS & CONDITIONS

For Biomedical Engineers Onboarding on the Healthhub Medical Nigeria Limited Platform

Welcome to Healthhub Medical Nigeria Limited (“Healthhub”).

These Biomedical Engineer Terms & Conditions govern the onboarding, engagement, installation, inspection, calibration, maintenance, repair, technical support, equipment testing, and all related biomedical engineering services coordinated, assigned, or facilitated through the Healthhub platform and ecosystem.

By registering, accepting assignments, accessing the platform, or clicking “I ACCEPT,” you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions.

  1. ACCEPTANCE OF TERMS

By clicking “I ACCEPT” or registering as a biomedical engineer on the Healthhub platform, you confirm and warrant that:

  • You have carefully read and understood these Terms & Conditions;

  • You are legally qualified and authorized to provide biomedical engineering and related technical services;

  • All information and documents submitted by you are accurate, current, complete, and authentic;

  • You agree to comply with all Healthhub operational standards, technical procedures, compliance requirements, and platform policies.

Failure to comply with these Terms may result in:

  • Suspension of platform access;

  • Restriction of assignments;

  • Permanent account termination;

  • Financial liability for damages or losses;

  • Legal or regulatory action where applicable.

Your electronic acceptance constitutes a legally binding agreement between you and Healthhub Medical Nigeria Limited.

  1. ROLE OF HEALTHHUB

Healthhub operates primarily as:

  • A healthcare procurement ecosystem;

  • A biomedical engineering coordination platform;

  • A technical inspection and maintenance coordination platform;

  • A logistics and procurement facilitator;

  • A marketplace and service coordination platform.

Healthhub may connect biomedical engineers with:

  • Hospitals;

  • Clinics;

  • Laboratories;

  • Diagnostic centers;

  • Healthcare institutions;

  • Suppliers;

  • Government agencies and organizations.

Healthhub reserves the right to coordinate, supervise, review, or monitor technical assignments carried out through the platform.

  1. ENGINEER ELIGIBILITY & VERIFICATION

Healthhub reserves the right to verify the identity, qualifications, certifications, experience, and competence of all biomedical engineers before onboarding approval or assignment allocation.

Engineers may be required to provide:

  • Government-issued identification;

  • Professional certifications;

  • Academic qualifications;

  • Technical licenses where applicable;

  • Passport photograph;

  • Residential or business address verification;

  • Employment or work experience details;

  • Professional references.

Healthhub reserves the right to:

  • Conduct background verification;

  • Request additional documentation;

  • Reject, suspend, or terminate onboarding applications at its discretion.

Submission of false, misleading, forged, or incomplete information may result in:

  • Immediate rejection or suspension;

  • Permanent account termination;

  • Legal or regulatory action where applicable.

  1. PROFESSIONAL CONDUCT & ETHICAL OBLIGATIONS

Biomedical engineers onboarded on Healthhub shall:

  • Conduct themselves professionally at all times;

  • Maintain ethical and technical standards;

  • Protect client confidentiality and proprietary information;

  • Comply with all applicable laws, regulations, and safety standards;

  • Exercise due care, competence, and diligence in performing assignments.

Engineers shall not:

  • Engage in fraudulent, deceptive, or unethical conduct;

  • Damage client property intentionally or negligently;

  • Misrepresent qualifications, certifications, or experience;

  • Use unauthorized personnel for assignments;

  • Engage in illegal or unsafe activities.

  1. NON-CIRCUMVENTION & CLIENT PROTECTION

Biomedical engineers acknowledge and agree that all clients, institutions, assignments, technical opportunities, maintenance requests, installations, repairs, inspections, and related engagements introduced through Healthhub constitute protected business relationships of Healthhub.

Accordingly, engineers shall not, directly or indirectly:

  • Bypass or circumvent Healthhub;

  • Solicit or divert Healthhub clients;

  • Conduct unauthorized private transactions with Healthhub clients;

  • Share unauthorized direct payment arrangements;

  • Use client information obtained through Healthhub for independent commercial purposes.

This obligation shall remain binding during active participation on the platform and for a period of five (5) years after the last assignment, transaction, or engagement conducted through Healthhub.

Any breach of this provision shall constitute a material violation and may result in:

  • Immediate suspension or termination;

  • Financial claims and recovery of losses;

  • Injunctive relief;

  • Legal proceedings;

  • Permanent blacklisting from the platform.

  1. JOB ASSIGNMENT & ACCEPTANCE

Healthhub may assign or coordinate technical jobs including:

  • Equipment installation;

  • Preventive maintenance;

  • Corrective maintenance;

  • Calibration services;

  • Technical inspections;

  • Equipment testing;

  • Equipment relocation;

  • Technical support and troubleshooting.

Engineers may:

  • Accept assignments;

  • Decline assignments;

  • Indicate availability preferences.

Healthhub reserves the right to:

  • Assign or reassign jobs;

  • Review performance before future assignments;

  • Restrict or suspend assignment access;

  • Modify job allocation procedures at its discretion.

Acceptance of an assignment constitutes confirmation that the engineer possesses the required competence, tools, and availability to perform the assignment professionally.

  1. SERVICE QUALITY & TECHNICAL STANDARDS

Biomedical engineers shall:

  • Follow manufacturer guidelines and specifications;

  • Adhere to biomedical engineering best practices;

  • Use proper and safe technical procedures;

  • Maintain high professional service standards.

Engineers must ensure:

  • Safe installation practices;

  • Accurate calibration;

  • Proper functional testing;

  • Accurate reporting and documentation;

  • Clean and professional work conditions.

Healthhub reserves the right to reject, suspend, or require correction of substandard technical work.

  1. TECHNICAL COMPLIANCE OBLIGATIONS

Biomedical engineers shall comply with:

  • Manufacturer instructions and technical standards;

  • Healthcare equipment regulations;

  • Electrical and workplace safety requirements;

  • Calibration standards where applicable;

  • Industry best practices and compliance requirements.

Healthhub reserves the right to:

  • Audit technical work;

  • Request technical records and documentation;

  • Conduct inspections or quality reviews;

  • Reject non-compliant or substandard services.

  1. INSPECTION, DOCUMENTATION & REPORTING

Biomedical engineers shall accurately document and submit where applicable:

  • Installation reports;

  • Inspection reports;

  • Maintenance reports;

  • Fault diagnosis reports;

  • Calibration reports;

  • Replacement parts records;

  • Service completion reports.

Healthhub may require supporting evidence including:

  • Photographs;

  • Videos;

  • Technical readings;

  • Signed completion forms;

  • Customer confirmation records.

Failure to submit required reports or evidence may affect payment processing and future assignment eligibility.

  1. LIABILITY & RESPONSIBILITY

Biomedical engineers shall be solely responsible and liable for:

  • Negligent technical work;

  • Unauthorized modifications;

  • Damage caused by improper installation or servicing;

  • Failure to comply with technical or safety standards;

  • Safety violations arising from their conduct or omissions.

Engineers shall immediately report:

  • Equipment hazards;

  • Technical failures;

  • Safety concerns;

  • Regulatory issues;

  • Accidents or incidents occurring during assignments.

  1. LIMITATION OF HEALTHHUB LIABILITY

Healthhub acts primarily as:

  • A technical coordination platform;

  • A procurement facilitator;

  • A logistics and inspection coordinator;

  • A marketplace and service management platform.

To the fullest extent permitted by law, Healthhub shall not be liable for:

  • Negligence or misconduct by engineers;

  • Independent technical decisions made by engineers;

  • Unauthorized engineer actions;

  • Improper use of equipment by clients;

  • Damages arising from third-party conduct beyond Healthhub’s direct control.

Nothing in these Terms shall exclude liability where such exclusion is prohibited by applicable law.

  1. PAYMENT TERMS

Payments to biomedical engineers shall be subject to:

  • Verification of job completion;

  • Client confirmation;

  • Technical approval;

  • Submission of all required reports and documentation.

Healthhub reserves the right to:

  • Delay payments pending investigation or verification;

  • Deduct costs or penalties arising from damages caused by the engineer;

  • Withhold payment for incomplete, defective, or non-compliant work.

Healthhub may also withhold payment where fraud, misconduct, or contractual breaches are reasonably suspected pending investigation.

  1. CONFIDENTIALITY

Biomedical engineers shall maintain strict confidentiality regarding all information obtained through Healthhub, including but not limited to:

  • Client information;

  • Technical records;

  • Procurement information;

  • Healthhub pricing structures;

  • Operational systems and procedures;

  • Technical documentation and reports.

Such information shall not be disclosed, copied, shared, or used for unauthorized purposes without prior written approval from Healthhub.

These confidentiality obligations shall survive termination of participation on the platform.

  1. USE OF ASSISTANTS, SUBCONTRACTORS & THIRD PARTIES

Biomedical engineers shall not:

  • Delegate assignments without authorization;

  • Use unauthorized assistants or subcontractors;

  • Transfer assignments to third parties without prior written approval from Healthhub.

Where approval is granted, the engineer shall remain fully responsible for the acts, omissions, conduct, and technical work of such assistants or subcontractors.

  1. TOOLS, EQUIPMENT & TECHNICAL RESPONSIBILITY

Biomedical engineers shall:

  • Maintain appropriate technical tools and instruments;

  • Use safe and properly functioning equipment;

  • Follow applicable safety procedures and technical standards.

Unless otherwise agreed in writing, engineers shall be responsible for:

  • Personal technical tools;

  • Safety gear and protective equipment;

  • Technical instruments and consumables required for assignments.

  1. HEALTH, SAFETY & INFECTION CONTROL COMPLIANCE

Biomedical engineers shall comply with:

  • Hospital and facility safety policies;

  • Infection prevention and control procedures;

  • Electrical and workplace safety standards;

  • Occupational health and safety requirements.

Engineers shall:

  • Use appropriate personal protective equipment (PPE);

  • Follow safe handling procedures;

  • Exercise reasonable care to avoid injury, contamination, or damage.

  1. PROHIBITED ACTIVITIES

Biomedical engineers shall not:

  • Engage in fraud or misrepresentation;

  • Falsify reports or technical findings;

  • Use counterfeit or unauthorized spare parts;

  • Damage equipment intentionally or negligently;

  • Circumvent Healthhub payment systems;

  • Accept unauthorized direct payments;

  • Mislead clients regarding technical conditions or outcomes.

Any violation may result in:

  • Immediate suspension;

  • Account termination;

  • Financial claims and recovery actions;

  • Legal proceedings;

  • Reporting to regulatory or law enforcement authorities where applicable.

  1. INDEMNIFICATION

Biomedical engineers agree to indemnify, defend, and hold harmless Healthhub Medical Nigeria Limited, its directors, officers, employees, affiliates, agents, and partners from and against any claims, losses, liabilities, damages, penalties, costs, or legal expenses arising from or relating to:

  • Engineer negligence or misconduct;

  • Improper or defective technical work;

  • Unauthorized modifications;

  • Breach of technical or safety standards;

  • Violation of these Terms & Conditions;

  • Injury, property damage, or loss caused by the engineer’s acts or omissions.

  1. TERMINATION & SUSPENSION RIGHTS

Healthhub reserves the right to suspend, restrict, or terminate engineer participation on the platform at its discretion where:

  • Fraud or misconduct occurs;

  • Circumvention is detected;

  • Technical or safety violations occur;

  • Reputational risks arise;

  • Regulatory concerns exist;

  • These Terms are breached.

Termination shall not affect accrued obligations, liabilities, confidentiality obligations, payment rights, or legal remedies available to Healthhub.

  1. FORCE MAJEURE

Healthhub shall not be liable for delays, interruptions, or failures arising from events beyond its reasonable control, including but not limited to:

  • Government actions or restrictions;

  • Security conditions;

  • Hospital access limitations;

  • Natural disasters;

  • Transportation disruptions;

  • Public health emergencies or pandemics;

  • Utility failures;

  • Force majeure events.

  1. DISPUTE RESOLUTION & GOVERNING LAW

Any dispute arising from participation on the Healthhub platform or relating to these Terms shall first be resolved amicably through good-faith negotiations.

Where amicable resolution fails, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the applicable laws of the Federal Republic of Nigeria.

These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.

  1. DIGITAL ACCEPTANCE & LEGAL EFFECT

By clicking “I ACCEPT,” registering on the platform, or accepting assignments through Healthhub, you acknowledge and agree that:

  • You have read and understood these Terms;

  • You voluntarily agree to be legally bound by them;

  • Your electronic acceptance constitutes a valid and enforceable agreement;

  • Electronic records, timestamps, IP addresses, device information, and digital acceptance logs maintained by Healthhub may serve as admissible evidence of acceptance and agreement.
